Carolina Industrial Equipment – Statement of Terms for Purchase Orders

  1. Acceptance of Order

    All Purchase Orders (“POs”) issued by Carolina Industrial Equipment (“CIE”) are subject to these Terms and Conditions. Acceptance of a PO constitutes acceptance of these terms, which supersede any conflicting terms proposed by the Seller.

  2. Prices and Taxes

    All prices stated on the PO are firm and not subject to increase without written consent from CIE. Prices include all applicable taxes, duties, tariffs, and charges unless otherwise specified. Seller must provide a detailed order acknowledgement upon receipt of purchase order.

  3. Invoices and Payment

    • Invoices must reference the CIE PO number and be submitted to ap@ciequipment.com or direct mail to the address indicated.
    • Standard payment terms are Net 60 days from the date of a valid invoice, unless otherwise specified on the purchase order.
  4. Delivery and Title

    • Delivery must be made in accordance with the schedule and shipping instructions specified in the PO.
    • Title and risk of loss pass to CIE upon delivery and acceptance at the designated destination, unless otherwise agreed.
  5. Inspection and Acceptance

    All goods and services are subject to inspection and approval by CIE. CIE reserves the right to reject and return, at the Seller’s expense, any goods found defective, nonconforming, or not meeting specifications.

  6. Changes and Cancellations

    CIE reserves the right to modify or cancel any PO prior to shipment, with notice to the Seller. Any changes to the PO by the Seller must be approved in writing by CIE.

  7. Warranties

    The Seller warrants that all goods and services provided shall be new, free from defects in material and workmanship, and conform to specifications. Seller further warrants that all goods are free of liens and encumbrances.

  8. Indemnification

    Seller agrees to indemnify and hold harmless CIE, its affiliates, and employees from any claims, losses, or damages arising out of or relating to Seller’s breach of this agreement, negligence, or failure to comply with applicable laws.

  9. Governing Law

    This PO and any disputes arising from it shall be governed by the laws of the North Carolina, without regard to conflict of law principles.

  10. Entire Agreement

    This PO, together with these Terms and Conditions, constitutes the entire agreement between CIE and the Seller and supersedes all prior communications or understandings, unless otherwise agreed to in writing by both parties.
